Agreement to our terms
These Terms of Service ("Terms") govern your use of the ColoradoKote website at coloradokote.com (the "Site") and the coating services provided by ColoradoKote ("we," "us," or "our"). By accessing our Site or engaging our services, you agree to these Terms.
1. Services Overview
ColoradoKote provides ceramic coating (Cerakote), chemical conversion coating, passivation, sandblasting, custom color matching, additive manufacturing post-processing, polymer coating, and ultrasonic cleaning services. All services are performed at our AS9100:2015 certified, ITAR-registered facility in Johnstown, Colorado.
2. Quotes and Orders
All quotes provided by ColoradoKote are estimates based on the information provided at the time of the request. Quotes are valid for 30 days unless otherwise stated. Final pricing may be adjusted based on actual part condition, quantity verification, masking complexity, or specification changes discovered upon receipt of parts. A purchase order or written authorization is required before work begins. ColoradoKote reserves the right to decline any order at our discretion.
3. Customer Responsibilities
You are responsible for:
- Providing accurate part specifications, substrate material identification, and engineering drawings
- Disclosing any hazardous materials, prior coatings, or contamination present on parts
- Specifying ITAR or export control classifications for defense-related items
- Reviewing and approving color standards, masking plans, and coating specifications before production begins
- Ensuring parts are shipped in packaging adequate to prevent damage in transit
4. Quality and Inspection
All work is performed under our AS9100:2015 quality management system. Certificates of Conformance documenting coating thickness, adhesion, color consistency, and inspection results accompany each shipment. Customers must inspect parts and report any quality concerns within 10 business days of receipt. Claims submitted after this period may not be accepted unless the defect could not reasonably have been detected upon visual inspection.
5. Turnaround and Delivery
Standard turnaround is 14 business days from receipt of parts. Expedited 3-day and 7-day turnaround options are available based on capacity. Turnaround times are estimates and not guaranteed delivery dates. ColoradoKote will communicate delays proactively. We are not liable for delays caused by shipping carriers, customer-provided specification changes, or circumstances beyond our control.
6. Shipping and Risk of Loss
Parts ship FOB origin from our Johnstown, Colorado facility unless otherwise agreed in writing. Risk of loss transfers to the customer upon delivery to the shipping carrier. ColoradoKote is not responsible for damage or loss during transit. We recommend customers purchase shipping insurance for high-value components. Return shipments of rejected or reworked parts ship at ColoradoKote's expense when the defect is attributable to our process.
7. Payment Terms
Payment terms are Net 30 from invoice date unless otherwise agreed in writing. New customers may be required to prepay or provide a credit application before work begins. Past-due invoices may accrue interest at 1.5% per month. ColoradoKote reserves the right to withhold shipment of completed parts until payment is received for past-due invoices on the account.
8. Limitation of Liability
ColoradoKote's total liability for any claim arising from our services is limited to the cost of recoating or reprocessing the affected parts, or a refund of the coating charges for the defective lot, at our discretion. We are not liable for consequential, incidental, or indirect damages including lost profits, production delays, assembly costs, or damages to third parties. This limitation applies regardless of the legal theory under which liability is asserted.
9. Warranty
ColoradoKote warrants that coated parts will conform to the specifications documented in the Certificate of Conformance at the time of shipment. This warranty does not cover defects caused by improper handling after shipment, operating conditions beyond the specified coating parameters, damage during customer assembly or installation, or use of parts in applications not disclosed at the time of quoting. Warranty claims must be submitted in writing within 90 days of shipment.
10. Intellectual Property and Confidentiality
All customer drawings, specifications, and technical data provided to ColoradoKote are treated as confidential. We do not share customer-specific information with third parties except as required to perform the contracted services. ITAR-controlled technical data is handled per our ITAR registration requirements. ColoradoKote retains ownership of its proprietary processes, application parameters, and quality procedures.
11. Indemnification
You agree to indemnify and hold ColoradoKote harmless from claims, damages, or expenses arising from your use of coated parts in applications not disclosed at the time of quoting, your failure to follow recommended handling or storage procedures, or your breach of these Terms.
12. Force Majeure
ColoradoKote is not liable for failure to perform due to circumstances beyond our reasonable control, including natural disasters, pandemics, supply chain disruptions, utility failures, government actions, or labor disputes. We will notify affected customers promptly and resume performance as soon as practicable.
13. Website Use
The content on our Site, including text, images, technical data, and specifications, is provided for informational purposes. While we strive for accuracy, published specifications are subject to change. Confirmed specifications for your project are documented in your quote and Certificate of Conformance, which supersede any general information on the Site. You may not reproduce, distribute, or commercially use Site content without our written permission.
14. Governing Law
These Terms are governed by the laws of the State of Colorado. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Larimer County, Colorado.
15. Modifications
ColoradoKote may update these Terms from time to time. The "Last Updated" date at the top indicates the most recent revision. Continued use of our Site or services after changes are posted constitutes acceptance of the updated Terms.
16. Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
